Terms and Conditions of Purchase

1. General Provisions

1.1 These Terms and Conditions for the Purchase and Sale of Goods (hereinafter – the “Terms”) govern the use of the auksosala.lt website and set out the shopping procedures at auksosala.lt. Auksosala.lt reserves the right to amend these Terms at its sole discretion at any time. All amendments to the Terms take effect from the moment they are made. By using the website, you confirm that you agree to the Terms and all amendments thereto. We recommend reviewing these Terms each time you use our website and before ordering goods. If you do not agree with the Terms, you must stop using the auksosala.lt website.

1.2 These Terms, once accepted by the buyer (i.e., after becoming acquainted with the Terms and Conditions for the Purchase and Sale of Goods and ticking the checkbox next to the statement “I have read and agree to the Terms and Conditions for the Purchase and Sale of Goods”), constitute a binding legal document for the parties, setting out the rights and obligations of the buyer and the seller, the conditions for purchasing goods and paying for them, the procedures for delivery and return of goods, the liability of the parties, and other provisions related to the purchase and sale of goods in the auksosala.lt online store.

1.3 The following persons have the right to purchase in our online store:

1.3.1 legal entities;

1.3.2 capable natural persons, i.e., persons of legal age whose legal capacity is not restricted in accordance with the procedure established by law;

1.3.3 minors aged 14 to 18, only with the consent of their parents or guardians, except where they independently dispose of their income;

1.3.4 duly authorized representatives of the persons specified in clauses 1.3.1–1.3.3.

1.4 By accepting the Terms, the buyer confirms that, in accordance with clause 1.3 of the Terms, they have the right to purchase goods in the auksosala.lt online store.

1.5 These Terms apply to the purchase of goods at https://auksosala.lt/. The Seller is UAB “AUKSO SALA”, a Lithuanian company duly registered and operating in the Republic of Lithuania, legal entity code 122528122, address: Kareivių g. 19, LT-09133, Vilnius. Seller data is collected and stored in the Register of Legal Entities, administered by the State Enterprise Centre of Registers. The Seller’s VAT number is LT225281219. More information about the Seller is provided in the “ABOUT US” section. The Seller’s contact information is provided in the “CONTACTS” section.

2. Sales Territory

2.1 Sales in the auksosala.lt online store are carried out within the territory of the European Union. With the Seller’s consent, goods may be sold to the buyer outside the territory of the European Union. Products will not be delivered to sanctioned territories of Russia and Belarus. We reserve the right to refuse delivery to temporarily occupied territories of Ukraine (Donetsk, Luhansk, Crimea, etc.), as well as to territories subject to international sanctions. We may refuse delivery to any location within these countries in prohibited areas.

3. Procedure for Purchasing Goods and Personal Data Protection

3.1 The buyer may purchase goods by registering in the auksosala.lt online store and entering their username and password; however, registration is not mandatory. In the specified information fields, the buyer must provide the data necessary for proper fulfilment of the order.

3.2 By accepting these Terms, the buyer confirms that they agree that the personal data provided by them will be processed, in accordance with the procedure established by legal acts, for the purposes of selling goods in the auksosala.lt online store.

3.3 The Seller does not disclose or distribute the buyer’s information. However, the Seller reserves the right to provide the buyer with information about new products, special offers, the Seller’s partners, information about goods and services offered, and to use such information for the purposes of the Seller’s business analysis and direct marketing (except where the buyer notifies in the prescribed manner that they do not wish their personal data to be processed for direct marketing purposes). The buyer’s information may be disclosed only: (1) with the buyer’s consent, (2) where required by law or in execution of a court decision, (3) where the buyer has violated or failed to comply with the purchase terms, (4) where disclosure is necessary to recover the buyer’s debt or claim damages, (5) in other cases provided by law. The Seller reserves the right to disclose information to the Seller’s partners in accordance with these Terms and the procedure established by law.

3.4 By visiting the auksosala.lt website, the buyer agrees that cookies necessary to record website traffic and to display advertisements to the buyer for marketing purposes will be stored on the buyer’s computer. Cookies do not identify a specific person; they only count visitor statistics.

3.5 Upon delivery of goods, the Seller has the right to require that the person delivering the goods, the courier, or postal employee be presented with the buyer’s identity document for proper identification.

4. Purchase and Sale Agreement

4.1 The agreement between the buyer and the seller is deemed concluded from the moment the buyer selects the goods to be purchased, adds them to the shopping cart, registers in the auksosala.lt online store, provides all required data, and makes payment. Payment is deemed made from the moment the funds are actually credited to the Seller’s bank account.

4.2 The Seller reserves the right to consider the purchase and sale agreement not concluded if the buyer does not provide all necessary delivery or ordered goods data/parameters, makes incomplete or partial payment, or due to other objective reasons specified in these Terms the agreement cannot be concluded.

5. Buyer’s Rights and Obligations

5.1 The buyer has the right to purchase goods in the auksosala.lt online store in accordance with these Terms and the procedure established in other information sections of the Seller’s online store.

5.2 The buyer has the right to withdraw from the purchase and sale agreement concluded with the auksosala.lt online store by contacting the Seller and obtaining a return code and instructions no later than within 14 (fourteen) days from the date of delivery of the goods. The return guarantee does not apply to goods produced according to the Buyer’s individual order.

5.3 The buyer may exercise the right provided in clause 5.2 only if the goods have not been damaged, altered, worn, are in the original packaging, and the buyer has all original documents.

5.4 The buyer must pay for the goods and accept them in accordance with the procedure set out in these Terms.

5.5 A registered buyer undertakes not to disclose their login details to third parties. If the buyer loses their login details, they must immediately inform the Seller using the contact details provided in the “Contacts” section.

5.6 If the data provided in the registration form of a registered buyer changes, the buyer must update it without delay.

5.7 By using the auksosala.lt online store, the buyer undertakes to comply with these Terms and other rules indicated in the online store and not to violate legal acts applicable to the transaction.

5.8 The buyer undertakes to carefully read the product description information. By purchasing a product, the buyer agrees with the provided product specification, description, and other product purchase information.

5.9 The buyer understands that the parameters of set gemstones indicated on the website (e.g., diamond color or clarity) may in certain cases differ from the parameters assigned to the gemstone or product by the Lithuanian Assay Office due to the fact that, when assessing set gemstones, the Lithuanian Assay Office allows a 20% tolerance in its assessment.

5.10 Ring size may be adjusted if the design allows it (i.e., the ring has no side stones, etc.). The Seller informs the buyer about the possibility of resizing.

6. Seller’s Rights and Obligations

6.1 The Seller undertakes, under the terms established in these Terms and in the online store, to provide the buyer with the opportunity to use the services offered by the auksosala.lt online store.

6.2 If the buyer attempts to harm the stability and security of the online store or breaches their obligations, the Seller has the right to immediately and without notice restrict or suspend the buyer’s access to the online store or, in certain cases, cancel the buyer’s registration.

6.3 For important reasons, the Seller may temporarily or permanently discontinue the operation of the online store without prior notice to the buyer.

6.4 The Seller has the right to cancel the buyer’s order without prior notice if the buyer does not provide all data necessary to fulfil the order and it is not possible to contact the buyer via the phone number or email address provided, or if full payment has not been made. In such a case, the delivery period begins to be calculated from the moment all information is provided and/or payment is made. The Seller has the right to cancel the buyer’s order without prior notice if the Seller is unable to contact the buyer within three (3) business days.

6.5 The Seller undertakes to respect the buyer’s right to data security and to use the buyer’s data only in accordance with these Terms and the applicable legal acts.

6.6 The Seller undertakes to deliver the goods ordered by the buyer to the address specified by the buyer in accordance with the procedure set out in these Terms.

6.7 If, due to important circumstances, the Seller cannot deliver the ordered goods, the Seller undertakes to offer an analogous product or one as similar as possible in its characteristics. If the buyer refuses to accept an analogous or most similar product, the Seller undertakes to refund the buyer within seven (7) business days if payment has been made.

7. Price of Goods and Payment Procedure

7.1 Product prices indicated in the online store catalog apply only when purchasing these goods in the online store www.auksosala.lt. All prices on auksosala.lt are stated in euros or US dollars. The indicated product price includes 21% value added tax (VAT).

7.2 The buyer pays for goods at the time of placing the order via the Neopay system or in UAB “AUKSO SALA” physical stores, as well as upon collection from a courier or parcel terminal.

7.2.1 In our online store you can pay in a newer and safer way – Neopay. Neopay offers the option to pay by card, directly from a bank account, using Apple Pay or Google Pay, and to pay in installments after receiving a loan offer.

Neopay bank account payments are a fast and secure payment method that allows you to pay for purchases online. To make a payment, choose your bank, log in, and confirm the payment. Neopay is a secure bank payment initiator providing services under the European Union Directive 2007/64/EC on Payment Services (PSD 1).

7.2.2 You may also pay for goods in other ways:

pay in cash or by card to the LP Express courier when delivering goods to your home (COD);
pay by card at LP Express or Omniva terminals before collecting the goods (COD);
pay in cash or by card at Aukso Sala points of sale before collecting the goods.

7.3 The Seller reserves the right not to fulfil the order if incomplete order or payment information is provided or if incomplete payment is made.

7.4 By confirming the Terms, the buyer agrees that purchase documents will be provided at the time of delivery or collection of the goods. After placing an order, the buyer can see and print information related to advance payment in the created personal account (if the buyer chooses to create one). The buyer’s personal account indicates the selected goods, their quantity, applied discounts, the final price of the goods, delivery and other fees, and other accounting information.

7.5 The buyer and the seller agree that after the buyer places an order and the seller confirms it, the product price may change depending on objective indicators affecting the price, such as an increase in the cost of goods, a technical error in information systems, or additional costs related to selling the goods to the buyer (Civil Code of the Republic of Lithuania, Article 6.313(7)). If the buyer does not agree to purchase the goods at the new price, either party, after notifying the other party, has the right to terminate the purchase and sale agreement. The parties agree that losses related to termination of the agreement under this clause are not compensated.

8. Delivery of Goods

8.1 Goods are delivered to the buyer by courier or an authorized representative of the Seller. Goods are delivered within the territory of the European Union. With the Seller’s consent, goods may be delivered outside the European Union. In cases determined by the Seller, delivery may be free of charge.

8.2 The buyer undertakes to specify the exact place of delivery of the goods.

8.3 The buyer undertakes to accept the goods personally. If the buyer cannot accept the goods personally and the goods are delivered to the specified address, the buyer has no right to submit claims to the Seller regarding delivery to an improper recipient. Accordingly, upon delivery to the address specified by the buyer, it shall be deemed that the goods have been properly delivered to the buyer.

8.4 The Seller delivers the goods to the buyer in accordance with the time limits indicated in product descriptions and on auksosala.lt. These time limits are preliminary and do not apply when the Seller’s warehouse does not have the required goods. The buyer also agrees that delivery may be delayed due to unforeseen circumstances beyond the Seller’s control.

8.5 In all cases, the Seller is released from liability for breach of delivery deadlines if the goods are not delivered or are delivered late due to the buyer’s fault or due to circumstances beyond the Seller’s control.

8.6 Upon delivery, the buyer must, together with the Seller or the Seller’s authorized representative, inspect the condition of the shipment and the goods and sign the shipment handover-acceptance document. Once the buyer signs the handover-acceptance document, it shall be deemed that the shipment has been delivered in proper condition, and there are no defects/damages attributable to non-manufacturing causes, nor any discrepancies in the set (which can be identified during external inspection). If the buyer notices that the shipment packaging is damaged (crumpled, wet, or otherwise externally damaged), the goods are damaged and/or the goods are of improper set, the buyer must note this in the handover-acceptance document and, in the presence of the Seller or the Seller’s representative, draw up a free-form report of damage/discrepancies. If the buyer fails to do so, the Seller is released from liability for damages that could have been identified during external inspection, and it shall be deemed that the goods were delivered in proper and good condition.

8.7 At the buyer’s request, the buyer may collect the goods at the address indicated by the Seller. Upon collection at the Seller’s indicated address, the goods shall be deemed properly delivered and meeting the parties’ agreed requirements. Such collection is subject to the conditions set out in clause 8 regarding delivery, inspection, and collection.

8.8 Delivery of goods in Lithuania:

Goods ordered on auksosala.lt are delivered in two ways via LP Express and Omniva systems. You can collect your order at all LP Express and Omniva terminals throughout Lithuania. During checkout, select LP Express or Omniva as the courier, choose the nearest self-service terminal, and within a couple of days you will receive an SMS with PIN codes for collection.

You can also choose home delivery. In such case, on the delivery day the courier will contact you 15–30 minutes before delivery and agree the delivery time with you.

8.9 Delivery of goods outside Lithuania

Goods ordered on auksosala.lt are delivered door-to-door worldwide using DHL OnDemand carrier services and DPD Economy couriers.

Goods are delivered within 4–7 business days from receipt of payment and the day the order is prepared when choosing Economy shipping. When choosing Express shipping, goods will be delivered within 1–3 business days. Preparation usually takes 1–3 business days; if the ordered product needs to be manufactured, preparation may take up to 5 days. In some cases, delivery may take longer.

Before delivery, a DHL or DPD courier will contact you regarding the delivery time and date. The goods will be delivered to the address specified in your order. If you want the goods to be delivered to a specific person or wish to change the delivery time and date, you will be able to manage everything in the DHL OnDemand or DPD administration system. You will receive a notification by email or message with an active link to the shipment management system. The convenient system allows you to see the estimated delivery time and address and to adjust the details. You can also choose delivery to neighbors or to the nearest pickup point; for travelers it is convenient to enable “vacation mode”, i.e., redirect the courier to the nearest storage facility where the delivered goods can be held for up to two weeks.

9. Product Quality Guarantee

9.1 The characteristics of each product sold on auksosala.lt are generally indicated in the product description next to each product. The actual characteristics of the manufactured and sold product may slightly differ from the characteristics indicated on the auksosala.lt website.

9.2 The Seller is not responsible for the fact that the products shown in the online store may not correspond in color, shape, or other parameters to the actual size, shape, and color due to the characteristics of the buyer’s display.

9.3 The parameters of set gemstones indicated on the website (e.g., diamond color, weight, or clarity) may in certain cases differ from the parameters assigned to the gemstone or product by the Lithuanian Assay Office, as the Lithuanian Assay Office, when assessing set products, allows a 20% tolerance in its assessment.

9.4 Where the Seller does not provide or indicate a product quality warranty period, the warranty provided by the relevant legal acts shall apply.

9.5 If the buyer is not satisfied with the product quality, the buyer has the right to submit a complaint by email to info@auksosala.lt. The Seller examines the complaint and provides a response within 15 calendar days. If the dispute is not resolved through negotiations, the buyer has the right to apply to the State Consumer Rights Protection Authority.

9.6 Assay marks (scratches, deformations) that appear on valuables made of precious metals and gemstones, including amber, during the assay process are not and cannot be considered defects in the commercial appearance or quality of the valuables.

10. Returns

10.1 The buyer has the right to return goods to the Seller within 14 days from the date of delivery if the goods were purchased online. The return guarantee does not apply to goods produced according to the Buyer’s individual order and to goods for which payment was made in a physical point of sale.

10.2 When returning goods, the following conditions must be met:

10.2.1 the returned product must be in the original, undamaged packaging;

10.2.2 the product must not be damaged;

10.2.3 the product must be unused and must not have lost its commercial appearance (labels not damaged or removed, the Lithuanian Assay Office product label and certificate intact and attached, any international certificates provided, etc.);

10.2.4 the returned product must be of the same комплектation as received by the buyer;

10.2.5 when returning the product, the purchase document must be provided, along with all certificates that were provided with the product;

10.3 The Seller has the right not to accept returned goods if the buyer does not comply with the return procedure set out in this article or if the returned goods do not meet the established return requirements. Worn, modified, altered, or damaged goods are not accepted for return. Goods will also not be accepted for return if the packaging is damaged, parts of the packaging are missing, or accessories supplied with the goods are missing. If the original quality certificate is missing, or the product label is damaged or removed, the Seller reserves the right to require payment of a fee necessary for re-certification of the product or to refuse acceptance of such goods for return.

10.4 When returning goods of proper quality, the buyer pays the return shipping costs. Returned goods must be sent via Omniva or LP Express terminals to the Vilnius Ozo g. 25 Akropolis terminal and fully insured during transportation for an amount not less than the purchase value of the product, or delivered to Aukso Sala points of sale in Vilnius, Kaunas, or Klaipėda. COD administration and service fees are non-refundable.

10.5 Money is refunded within 3 business days after the Seller inspects the returned goods and confirms that the goods are undamaged and comply with the return conditions. Refunds for returned goods are in all cases made only to the payer, using the same payment method that was used to pay for the goods.

10.6 Goods purchased in physical Aukso Sala stores are non-returnable. Goods produced according to an individual order are non-returnable. Gift vouchers are non-returnable, cannot be exchanged for cash, and cannot be extended. When returning goods purchased with a gift voucher, the gift voucher and any additional payment (if any) will be refunded.

10.7 Returns are carried out in accordance with the procedure established in the Rules approved by Order No. 258 of the Minister of Economy of the Republic of Lithuania of 17 August 2001 “On the Rules for the Sale of Goods and Provision of Services When Contracts Are Concluded Using Means of Communication”, and the Law No. XII-700 of 19 December 2013 amending and supplementing the Civil Code. Goods may be returned within 14 days from the date of receipt, only in the original packaging and with the Lithuanian Assay Office certificate attached and undamaged.

11. Liability

11.1 The buyer is fully responsible for the accuracy of the personal data provided. If the buyer provides inaccurate personal data, the Seller is not liable for the consequences arising therefrom and acquires the right to claim compensation for losses incurred from the buyer.

11.2 The buyer is responsible for actions performed using this online store.

11.3 A registered buyer is responsible for the disclosure of their login details to third parties. If a third party uses services provided by auksosala.lt by logging in with the buyer’s login details, the Seller shall treat such person as the buyer.

11.4 The Seller is released from any liability where losses arise because the buyer, disregarding the Seller’s recommendations and their obligations, did not familiarize themselves with these Terms although such an opportunity was provided.

11.5 If the Seller’s online store contains links to websites of other companies, institutions, organizations, or individuals, the Seller is not responsible for the information contained therein, does not supervise or control such websites, and does not represent such companies and/or individuals.

11.6 In the event of damage, the party at fault compensates the other party for direct losses.

11.7 The parties expressly agree that the Seller is not liable for losses or pecuniary and non-pecuniary damage arising from late delivery of goods, non-delivery of goods, cancellation of an order, or non-conformity of goods. In the event of non-delivery or cancellation of the buyer’s order, the Seller’s only obligation is to refund the amount paid by the buyer for the goods.

12. Seller’s Right to Change the Price

12.1 The Seller has the right to change the prices and parameters of goods offered for sale. At its discretion, the Seller may initiate various promotions in the auksosala.lt online store.

12.2 The Seller has the right to unilaterally change the terms of promotions or cancel them without separate notice.

13. Discrepancies and System Errors

13.1 In certain cases, due to system or printing errors, prices or other information on the auksosala.lt website may be incorrect. The Seller makes every effort to avoid such errors. If the indicated product price is lower than the actual price, or if the ordered product is not available in the online store, the Seller reserves the right to cancel the order, immediately informing the buyer and refunding the amount paid. The Seller shall not be liable for any damage or losses incurred by the buyer due to such cancellation.

13.2 The Seller makes every effort to ensure that information on the auksosala.lt website is accurate and complete. To enable the buyer to view products in as much detail as possible, different photos are provided. Some products may appear larger or smaller in photos than their actual size; color, shape, or shade may differ, and the delivered product may therefore have certain discrepancies compared to the photos.

14. Diamond Quality Policy

14.1 Auksosala.lt supplies diamonds and diamond jewelry only from reliable and most respected suppliers. Products with diamonds sold in the Lithuanian market have diamond quality certificates issued by the Lithuanian or Latvian Assay Office. The Lithuanian Assay Office certificate issued for a gold product also indicates the fineness of the gold.

15. Gift Vouchers

15.1 A gift voucher purchased in the www.auksosala.lt online store is valid for one year from the date of purchase.

15.2 A voucher purchased in the www.auksosala.lt online store may be used for payment at all Aukso Sala physical points of sale and for online purchases.

15.3 When paying with a gift voucher, the shopping cart amount must not be less than the voucher amount; otherwise, the difference is not refunded.

15.4 Gift vouchers purchased in physical stores cannot be used for payment in the www.auksosala.lt e-store.

15.5 Gift vouchers cannot be exchanged for cash and cannot be returned. When returning goods purchased with a gift voucher, any additional payment (if any) is refunded, and the gift voucher is returned.

15.6 When purchasing gift vouchers, a VAT invoice is not issued. At the buyer’s request, a gift voucher handover-acceptance deed may be issued. A VAT invoice is issued only when purchasing goods.

15.7 If the gift voucher was not used within its validity period, money is not refunded and it is considered that the goods have been purchased.

15.8 It is not possible to extend the validity of a gift voucher.

16. Other Provisions

16.1 The Seller sends all notices to the email address provided by the buyer. The buyer sends all notices and inquiries to the Seller’s email address info@auksosala.lt indicated in the “Contacts” section of the website.

16.2 These Terms are drawn up in accordance with the laws of the Republic of Lithuania. Relations arising on the basis of the Terms are governed by the law of the Republic of Lithuania. All disputes arising due to breach of these Terms are settled by negotiations. If the parties fail to reach an agreement, disputes are resolved in accordance with the procedure established by the laws of the Republic of Lithuania. The buyer has the right to settle a dispute and submit claims to the Seller by email to info@auksosala.lt. Buyers may submit a request regarding goods or services purchased in our online store to the State Consumer Rights Protection Authority via its website http://www.vvtat.lt/vartotojams/kaip-pateikti-prasyma/431 and its territorial divisions in counties http://www.vvtat.lt/vartotojams/aptarnavimas/432. Disputes may also be resolved electronically via the ODR platform https://ec.europa.eu/.

16.3 These Terms are the Seller’s intellectual property. Copying, distributing, or using the Terms or any part thereof without the Seller’s written consent is prohibited.
